Welcome to the terms of use ("Terms of Use") for the priora demo (“Priora Demo”), a software developed by Salt Edge Inc. for testing purposes and offered to you (“You”, “Your”, “Your’s”). These Terms of Use are entered into by and between You and Salt Edge Inc. ("Salt Edge," "we," "our," or "us") and govern Your access to and use of the Priora Demo. The functionality of this software includes a simulated Third-Party Provider (“TPP”) with a self-signed certificate and a simulated customer provided by Salt Edge. In order to utilize the Priora Demo, You are required to create an account to simulate the actions of a customer (“Priora Demo Account”).
Please note that Priora Demo is provided free of charge without any liability on part of Salt Edge for Your use. It is crucial to acknowledge that Priora Demo may contain errors, and You are advised strongly against using personal data and encouraged to utilize the Priora Demo at Your own risk. While these incidents are rare, it is important to acknowledge that they may occur so that You may use caution in using it. Furthermore, it is important to clarify that this functionality is expressly excluded from the "Services" definition as outlined in any agreement that may have (or will have) entered into with Salt Edge. It is provided as a courtesy to You without any payment requirement.
By using the Priora Demo, You agree to comply with these Terms of Use. It is recommended that You read and understand these terms thoroughly before proceeding. If You have any questions or concerns, please reach out to our support team for further assistance.
If You are a new user of Priora Demo, by clicking to accept or agree to the Terms of Use, You accept and agree to be bound and abide by these Terms of Use. If You do not want to agree to these Terms of Use, You must not access or use the Priora Demo. If You have an account in Priora Demo before the date of the first publishing of these Terms of Use, You will receive an email at the date of publishing containing these Terms of Use. If You disagree with these Terms of Use, you must contact us at compliance@saltedge.com within 30 days requesting us to delete Your account. By continuing using the Priora Demo after an elapse of 30 days from the first date of publishing of these Terms of Use, You accept and agree to be bound and abide by these Terms of Use.
We may revise and update these Terms of Use from time to time in our sole discretion. If we decide to change this Terms of Use, we will post an appropriate notice on the Priora Demo website. The changes to this Terms of Use will not apply retroactively and will take effect upon the expiry of fifteen (15) days from being posted, except that changes addressing new functions of the Priora Demo and changes made for legal reasons shall become effective immediately upon being posted. The date of the last update of this Terms of Use is set out at the top of this page.
Continuing to use the Priora Demo following the posting of revised Terms of Use means that You accept and agree to the changes.
In order to access the testing functionality of Priora Demo, You must be an account servicing payment service provider (“ASPSP”) who has entered into a certain compliance service agreement (“Agreement”) with Salt Edge and wishes to access another tool for testing of Salt Edge’s services (“Services”) than that already provided as part of the Agreement.
Priora Demo incorporates a simulated TPP with a self-signed certificate, and a simulated end user (“Fake End User”) who holds a simulated account for executing payment transactions held in the End User’s name by the ASPSP using the Priora Demo.
You are strongly advised against using real end users (“Real End Users”) who hold a real account for executing payment transactions held in the Real End User’s name by the ASPSP using the Priora Demo. If you decide on using Real End Users and their personal data (as defined in the jurisdiction of Real End User, “Real End User Personal Data”) in Priora Demo, You must send a formal request (email to suffice) to Salt Edge indicating the name of the Real End User and period of time for testing with Real End Users, and at all times You acknowledge that (i) use of Priora Demo with Real End Users is at your own responsibility and risk, (ii) Section 10 will apply in relation to protection of Real End User Personal Data, and (iii) agree to keep Salt Edge indemnified for any liabilities arising under Your use of Real End Users in testing via the Priora Demo as set out in Section 14.
You are required to ensure that all persons who access and use the Priora Demo are aware of this Terms of Use and comply with it. It is a condition of Your use of the Priora Demo that all the information You provide on the Priora Demo is correct, current, and complete.
You are solely responsible for all activities and actions carried out by You or any authorized staff or representatives using your credentials. Any such activities and actions of any of Your authorized staff or representatives shall be deemed performed by You. You understand and acknowledge that, insofar as you use the Priora Demo the safety of your credentials may affect the security of your Real End User’s Payment Accounts. If you suspect that an unauthorized access to the Priora Demo has occurred or that your credentials have been stolen, compromised or became known to others, you must change them immediately.
You must immediately notify Salt Edge at compliance@saltedge.com , if you suspect or become aware of an instance of unauthorized access to the Priora Demo or of any loss, theft or unauthorized use or disclosure of your credentials.
YOU ARE SOLELY AND ENTIRELY RESPONSIBLE FOR YOUR USE OF THE PRIORA DEMO AND YOUR COMPUTER, INTERNET AND DATA SECURITY.
The Priora Demo is protected by copyright, trade secret, and other intellectual property rights laws. Salt Edge hereby grants you a personal, limited, non-exclusive, non-transferable, revocable, non-sublicensable, royalty-free right and license to access and use the Priora Demo for the sole purpose of testing, and as permitted by, these Terms of Use. Except for the rights expressly granted to you in this Terms of Use, no other rights are granted by implication, estoppel or otherwise. Only Salt Edge has the right to maintain, enhance or otherwise modify the Priora Demo.
You shall use the Priora Demo solely as permitted by, and contemplated in, this Terms of Use. Without limiting any other provision of this Terms of Use, you agree that you shall not (and will not allow any third party to), either directly or indirectly:
The Priora Demo and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, and the design, selection, and arrangement thereof) are owned by the Salt Edge, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. These Terms of Use permit You to use the Priora Demo for Your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Priora Demo.
You must not:
You must not access or use for any commercial purposes any part of the website or any services or materials available through the Priora Demo.
If You print, copy, modify, download, or otherwise use or provide any other person with access to any part of the Priora Demo in breach of the Terms of Use, Your right to use the Priora Demo will stop immediately and You must, at our option, return or destroy any copies of the materials You have made. No right, title, or interest in or to the Priora Demo or any content on the Priora Demo is transferred to You, and all rights not expressly granted are reserved by the Salt Edge. Any use of the Priora Demo not expressly permitted by these Terms of Use is a breach of these Terms of Use and may violate copyright, trademark, and other laws.
Salt Edge may in its sole discretion and at any time update or modify the Priora Demo, add or remove functions, discontinue, temporarily or permanently, including without limitation due to technical reasons, security issues, regulatory and legal requirements, or business reasons. Salt Edge may also perform maintenance of Priora Demo from time to time which may result in interruptions, delays or errors. You acknowledge and agree that any maintenance, modification, suspension or termination of the Priora Demo may be effected without prior notice. You further acknowledge and agree that your continued use of the Priora Demo after the date of changes to the Priora Demo indicates your agreement to such changes.

YOU WAIVE AND HOLD HARMLESS SALT EDGE AND ITS SUBSIDIARIES, AFFILIATES, AND THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SERVICE PROVIDERS, CONTRACTORS, LICENSORS, LICENSEES, SUPPLIERS, AND SUCCESSORS FROM ANY AND ALL CLAIMS RESULTING FROM ANY ACTION TAKEN BY THE SALT EDGE AND ANY OF THE FOREGOING PARTIES RELATING TO ANY, INVESTIGATIONS BY EITHER THE SALT EDGE OR BY LAW ENFORCEMENT AUTHORITIES.
The Parties acknowledge that in respect of Real End User Personal Data processed in connection with the Priora Demo, You act as Controller and Salt Edge acts as Processor appointed by You. You shall have a privacy policy in place which brings to the attention of Real End Users the purposes of Real End User Personal Data processing relating to the testing under these Terms of Use. You acknowledge and agree that Priora Demo is not a secure testing tool and shall be solely responsible for any liability arising from personal data breaches arising under Your use of Priora Demo.
You acknowledge and agree that Salt Edge, including its personnel, agents and third-party subcontractors, shall:
In providing the Priora Demo Salt Edge shall process any Real End User Personal Data in accordance with this Terms of Use and any applicable data processing agreement (if executed between the Parties). Furthermore, Salt Edge shall adhere to the following general principles:
When creating a Priora Demo Account, we may collect certain information, including Personal Data (as defined in the ASPSP’s jurisdiction), from Your personnel acting on Your behalf and under Your control (“Authorized Staff”). This Personal Data can include, without limitation, the Authorized Staff’s name, email address and IP address. Salt Edge represents and warrants that it will process such Personal Data of Authorized Staff only for the purposes of: (i) performing its obligations under this Agreement; (ii) ensuring the security and integrity of the Priora Demo; and (iii) monitoring Your compliance with the terms of this Terms of Use. Salt Edge shall process the Personal Data of Authorized Staff in accordance with the applicable privacy laws. You undertake to inform the Authorized Staff of Salt Edge’s processing of their Personal Data as set forth herein.
Salt Edge shall store Real End User Personal Data and Authorized Staff’s Personal Data solely on the territory of the European Union/European Economic Area. Client acknowledges and agrees that solely for the purpose of these Terms of Use and/or maintenance, including, without limitation, for troubleshooting, debugging, error fixing and/or investigation of a particular issue or incident, Salt Edge’s authorized technical or customer care personnel may remotely access from the Republic of Moldova the Real End User Personal Data and Authorized Staff’s Personal Data processed hereunder in read-only mode for a limited period of time, and in accordance with their assigned roles and access rights.
Salt Edge shall have the right to generate anonymized data (“Anonymized Data”) derived from, or based on, Real End User Personal Data so that Real End Users are no longer, directly or indirectly, personally identifiable from such data, and combine or incorporate such Anonymized Data with or into other similar data or information acquired from other users or derived from other users’ use of Salt Edge’s products and/or services (“Anonymized Aggregate Data”). Salt Edge may use the Anonymized Data and Anonymized Aggregate Data for any business purpose both during and after the Term, including, but not limited to:
For the avoidance of doubt, Salt Edge does not, and shall not, resell Anonymized Data and/or Anonymized Aggregate Data.
These Terms of Use become effective when you first access the Priora Demo and remain in force until terminated by either party. We may terminate these Terms of Use at any time and for any reason by posting an appropriate notice at the top of this page on the Priora Demo website, such termination to become effective upon the expiry of fifteen (15) days from being posted. You acknowledge and agree that Salt Edge in its sole discretion and without advance notice may immediately suspend or terminate this Terms of Use:
You may terminate this Terms of Use at any time for any reason by deleting Your Priora Demo Account or sending us a request at compliance@saltedge.com to delete Your account.
Upon termination of this Terms of Use: (i) you must cease all use of the Priora Demo and any other activities or actions permitted under this Terms of Use, and (ii) all rights and licenses granted to you under this Terms of Use will be terminated.
Any termination of this Terms of Use (howsoever occasioned) shall not affect any accrued rights or liabilities of either party, nor shall it affect the coming into force or the continuance in force of any provision hereof which is expressly or by implication intended to come into or continue in force on or after such termination.
YOU ACKNOWLEDGE AND AGREE THAT TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAWS:
THE WARRANTY EXCLUSIONS SET FORTH IN THIS CLAUSE SHALL APPLY TO THE MAXIMUM EXTENT ALLOWED BY THE LAWS APPLICABLE TO THIS AGREEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAWS, SALT EDGE SHALL NOT BE LIABLE, IN CONTRACT, TORT OR OTHERWISE, FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, RELIANCE, CONSEQUENTIAL OR EXEMPLARY DAMAGES INCURRED BY YOU IN CONNECTION WITH THIS AGREEMENT, INCLUDING BUT NOT LIMITED TO DAMAGES FOR, RELATING TO OR ARISING FROM: (I) LOSS OF PROFITS, (II) LOSS OF USE; (III) DELAYS OR BUSINESS INTERRUPTIONS; (IV) FAILURE OF TELECOMMUNICATIONS, THE INTERNET, ELECTRONIC COMMUNICATIONS, (V) FAILURE OF ANY RELEVANT FINANCIAL INSTITUTION; (VI) LOSS OF BUSINESS REVENUE OR INVESTMENT, (VI) USE OF SOFTWARE OR HARDWARE THAT DOES NOT MEET SALT EDGE’S SYSTEM REQUIREMENTS, (VII) DAMAGE TO GOODWILL, REPUTATION, DATA OR OTHER INTANGIBLE LOSSES, AND/OR (VIII) THE USE OF, OR THE INABILITY TO USE, THE PRIORA DEMO, WILLFUL MISCONDUCT OR GROSS NEGLIGENCE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAWS, THE ABOVE LIMITATIONS APPLY EVEN IF SALT EDGE HAS BEEN ADVISED OF, OR SHOULD HAVE FORESEEN, OR HAD OTHER REASON TO KNOW, THE POSSIBILITY OF SUCH DAMAGES.
YOU AGREE TO INDEMNIFY, DEFEND AND HOLD SALT EDGE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS HARMLESS FROM ALL LOSSES, DAMAGES, FINES, PENALTIES, COSTS AND EXPENSES (INCLUDING WITHOUT LIMITATION REASONABLE ATTORNEY’S FEES) INCURRED OR SUFFERED BY SALT EDGE AS A RESULT OF: (I) YOUR USE OF THE PRIORA DEMO, INCLUDING WITHOUT LIMITATION, YOUR USE OF THE PRIORA DEMO THROUGH REAL END USERS, EVEN IF SUCH LOSSES, DAMAGES, FINES, PENALTIES, COSTS AND EXPENSES ARISE AS A CONSEQUENCE OF OR IN CONNECTION WITH TECHNICAL ERRORS, INADEQUACY OR UNFITNESS OF PRIORA DEMO, INCLUDING WITHOUT LIMITATION SECURITY BREACHES OR PERSONAL DATA BREACHES OF REAL END USER PERSONAL DATA (II) A BREACH BY YOU OF ANY OF THE TERMS OF USE OR APPLICABLE LAWS, (III) YOUR INFRINGEMENT OF ANY INTELLECTUAL PROPERTY RIGHTS OR ANY OTHER RIGHTS OF THIRD PARTIES, AND/OR (IV) FRAUD COMMITTED OR FRAUDULENT MISREPRESENTATION MADE BY YOU.
The Priora Demo and these Terms of Use will be governed by and construed in accordance with the English laws and any applicable federal laws applicable therein, without giving effect to any choice or conflict of law provision, principle, or rule and notwithstanding Your domicile, residence, or physical location. Any action or proceeding arising out of or relating to this Priora Demo and/or under these Terms of Use will be instituted in the courts of the Province of Ontario, and each party irrevocably submits to the exclusive jurisdiction of such courts in any such action or proceeding. You waive any and all objections to the exercise of jurisdiction over You by such courts and to the venue of such courts.
If any provision of these Terms of Use is illegal or unenforceable under applicable law, the remainder of the provision will be amended to achieve as closely as possible the effect of the original term and all other provisions of these Terms of Use will continue in full force and effect.
These Terms of Use constitute the entire and only Terms of Use between the parties in relation to its subject matter and replaces and extinguishes all prior or simultaneous Terms of Uses, undertakings, arrangements, understandings or statements of any nature made by the parties or any of them whether oral or written (and, if written, whether or not in draft form) with respect to such subject matter. Each of the parties acknowledges that they are not relying on any statements, warranties or representations given or made by any of them in relation to the subject matter of these Terms of Use, save those expressly set out in these Terms of Use, and that they shall have no rights or remedies with respect to such subject matter otherwise than under these Terms of Use save to the extent that they arise out of the fraud or fraudulent misrepresentation of another party. No variation of these Terms of Use shall be effective unless it is in writing and signed by or on behalf of Salt Edge.
No failure to exercise, and no delay in exercising, on the part of either party, any right or any power hereunder shall operate as a waiver thereof, nor shall any single or partial exercise of any right or power hereunder preclude further exercise of that or any other right hereunder.
We may provide any notice to You under these Terms of Use by: (i) sending a message to the email address You provide to us and consent to us using; or (ii) by posting to the Priora Demo website. Notices sent by email will be effective when we send the email and notices we provide by posting will be effective upon posting. It is Your responsibility to keep Your email address current.
To give us notice under these Terms of Use, You must contact us as follows: by personal delivery, overnight courier or registered or certified mail to compliance@saltedge.com. We may update the address for notices to us by posting a notice on the Priora Demo website. Notices provided by personal delivery will be effective immediately once personally received by an authorized representative of Salt Edge. Notices provided by overnight courier or registered or certified mail will be effective once received and where confirmation has been provided to evidence the receipt of the notice.
